Terms of service
Welcome, and thank you for your interest in Bean Box, Inc. ("Bean Box," "we," or "us") and our websites at beanbox.com and office.beanbox.com, along with our related websites, networks, applications, and other services provided by us (collectively, the "Service"). These Terms of Service are a legally binding contract between you and Bean Box regarding your use of the Service.
PLEASE READ THE FOLLOWING TERMS CAREFULLY.
BY CLICKING "I ACCEPT," OR BY ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING BEAN BOX'S PRIVACY POLICY AND RETURN & REFUND POLICY (COLLECTIVELY, THESE "TERMS"). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE.
ARBITRATION NOTICE. Except for certain kinds of disputes described in Section 16, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND BEAN BOX ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. (See Section 16.)
- Bean Box Service Overview. Bean Box offers coffee and related products from the world's best artisan roasters ("Products"), including through our office and workplace coffee store at office.beanbox.com.
- Eligibility. You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 13 years old; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws and regulations. If you are an entity, the individual accepting these Terms represents that they have authority to bind that entity.
- Accounts and Registration. To access some features you may need to register for an account and provide information such as your name, email address, and contact information. You agree to keep this information accurate and up to date. You are responsible for maintaining the confidentiality of your account and password and for all activity under your account. Notify us at office@beanbox.com if you believe your account is no longer secure.

General Payment Terms. Certain features require you to pay fees, including fees for the purchase of Products. Before you pay, you will have an opportunity to review and accept the fees. All fees are in U.S. Dollars and are non-refundable except as provided in our Return & Refund Policy.
- Price. Bean Box reserves the right to determine pricing for Products and the Service and will make reasonable efforts to keep published pricing current. Bean Box may change fees with advance notice. Promotional offers, unless made to you, do not apply to your order or these Terms.
- Authorization. You authorize Bean Box to charge all sums for your orders, including applicable taxes, to the payment method specified at checkout. Bean Box may pre-authorize your card to verify validity and available funds.
- Product Orders. Your order constitutes an offer to purchase, and all orders are subject to Bean Box's acceptance. Except where prohibited by law, Bean Box may accept, decline, or limit your order for any reason. By clicking "Purchase," "Buy," "Pay Now," or a similar button, you enter into an obligation to pay for the Products. Your order is complete when Bean Box informs you that your shipment is ready. If Bean Box rejects your offer, your sole and exclusive remedy is a refund of the amount you paid.
- Title, Risk of Loss. Title to the Product passes to you when the Product is delivered to the carrier, after which all risk of loss or damage is yours.
- Delivery. Bean Box will tell you when Products will ship in the cart and in your email receipt. Bean Box will make good-faith efforts to deliver on schedule but is not responsible for delays or failures beyond its reasonable control, and may ship in separate shipments and choose carriers at its discretion. Your order ships to the address you specify. See our Shipping Policy for details.
- Inspection. Examine all deliveries upon receipt and notify Bean Box of any error, shortage, defect, or non-conformity within 15 days after receipt. Failure to do so constitutes a waiver to the maximum extent permitted by law. Make claims for damage or loss in transit against the carrier.
- Returns, Exchanges, and Refunds. Bean Box's Return & Refund Policy is available at https://office.beanbox.com/policies/refund-policy.
- Product Information; Changes. While we take reasonable steps to depict Products accurately, on-screen detailing (color, texture) depends on your monitor and may not exactly reflect the Product you receive. Bean Box may discontinue or change any Product or the Service at any time without notice.
- Delinquent Accounts. Bean Box may suspend or terminate access for any account with an amount due but unpaid, and may charge fees incidental to any chargeback or collection.
- Licenses. Subject to your compliance with these Terms, Bean Box grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal use. You may not reproduce, distribute, publicly display, or modify the Service, or interfere with or circumvent any feature, including security or access controls. If you provide feedback or suggestions, you grant Bean Box an unrestricted, perpetual, irrevocable, royalty-free right to use it for any purpose.
- Ownership; Proprietary Rights. The Service is owned and operated by Bean Box. All interfaces, graphics, design, data, code, products, software, services, and other elements ("Materials") are protected by intellectual property and other laws and are the property of Bean Box or its licensors. Except as expressly authorized, you may not use the Materials.
- Third-Party Services and Linked Websites. The Service may contain links to or integrations with third-party services and websites that are not under Bean Box's control. To the fullest extent permitted by law, Bean Box is not responsible for their content or practices. Your dealings with third parties are solely between you and them.
- User Content. If the Service lets you submit content (such as reviews), you retain your rights in it and grant Bean Box a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, display, and distribute it in any media. You are solely responsible for your content and represent that it does not infringe any third-party right and is not unlawful or objectionable. Bean Box may remove content that violates these Terms but has no obligation to monitor content.

Communications.
- Email. We may send you emails about our products and services. You may opt out of promotional emails using the unsubscribe link in the email.
- SMS / Text Messaging. By providing your mobile number and opting in, you consent to receive marketing and transactional SMS/text messages from Bean Box (e.g., order updates, account alerts, offers). Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out or HELP for help, or contact office@beanbox.com / +1-888-923-8596.
- Prohibited Conduct. You agree not to: use the Service for any illegal purpose or in violation of any law; violate any third-party right; interfere with security features; disrupt the Service or other users; upload malicious code; collect personal information about others without consent; engage in fraud or impersonation; resell or transfer your access; or misrepresent a relationship with or endorsement by Bean Box.
- Modification of these Terms. We may change these Terms on a going-forward basis at any time upon 7 days' notice. Material changes may require your acceptance to continue using the Service. Disputes are resolved under the version of the Terms in effect when the dispute arose.
- Term, Termination, and Modification of the Service. These Terms are effective when you first use the Service and continue until terminated. If you violate any provision, your authorization terminates automatically. Bean Box may terminate or suspend your access at any time, with or without notice; if Bean Box terminates your account, it will refund any prepaid but unused fees. You may terminate by contacting office@beanbox.com or +1-888-923-8596. Bean Box may modify or discontinue the Service at any time without notice and has no liability for doing so.
- Indemnity. To the fullest extent permitted by law, you will defend and indemnify Bean Box and its officers, directors, employees, affiliates, and agents (the "Bean Box Entities") from every third-party claim and related liability, damage, loss, and expense (including reasonable attorneys' fees) arising out of: (a) your misuse of the Service or Products; (b) your violation of these Terms or any law; (c) your violation of any third-party right; or (d) any dispute between you and a third party.
- Disclaimers; No Warranties. YOU ARE SOLELY RESPONSIBLE FOR THE PROPER HANDLING, PREPARATION, STORAGE, USE, AND CONSUMPTION OF THE PRODUCTS, AND FOR KNOWING ABOUT ANY FOOD ALLERGIES YOU MAY HAVE AND VERIFYING PRODUCT CONTENTS BEFORE CONSUMING. THE SERVICE AND ALL MATERIALS AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." BEAN BOX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
- Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, THE BEAN BOX ENTITIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE BEAN BOX ENTITIES' AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO BEAN BOX IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
- Dispute Resolution and Arbitration. Except for the exceptions below, you and Bean Box agree that every dispute arising in connection with these Terms or the purchase of Products will be resolved by binding, individual arbitration administered by JAMS under the Federal Arbitration Act, before a single arbitrator in King County, Washington. YOU AND BEAN BOX ARE EACH WAIVING THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Exceptions: either party may bring an individual action in small claims court, pursue an enforcement action through a government agency, seek injunctive relief in aid of arbitration, or sue in court for intellectual-property infringement. Opt-out: you may opt out of arbitration within 30 days of first agreeing to these Terms by mailing a notice with your name, account email, and a statement that you wish to opt out to: Bean Box, Inc., Attn: Legal Department – Arbitration Opt-Out, 1037 NE 65th Street, PMB 326, Seattle, WA 98115.

Miscellaneous.
- General Terms. These Terms, together with the Privacy Policy and any other incorporated agreements, are the entire agreement between you and Bean Box regarding the Service. You may not assign these Terms without our consent; we may assign them at any time. If any part is held invalid, the rest remains in effect.
- Governing Law. These Terms are governed by the laws of the State of Washington without regard to conflict-of-law principles. You and Bean Box submit to the exclusive jurisdiction of the state and federal courts in King County, Washington for any permitted court proceeding.
- Privacy Policy. Please read our Privacy Policy, which is incorporated into and made a part of these Terms.
- Consent to Electronic Communications. By using the Service you consent to receive electronic communications from us, which satisfy any legal writing requirements.

- Notice to California Residents. Under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 N. Market Blvd., Suite S-202, Sacramento, CA 95834, or (800) 952-5210.
- International Use. The Service and Products are intended for visitors located within the United States.
